This agreement sets out the specifics of the registered-agent, formation, and compliance services you order from States Agent. It applies together with our Terms of Service.
We provide registered-agent service in each state you order: a registered-agent and registered-office address is maintained on record with the state, service of process and state correspondence are received and accepted during business hours, and scanned and posted to your dashboard, typically within one business day of receipt. Service is delivered through our fulfilment provider, whose address is the address of record.
You must designate an authorized natural person, with a verified physical address and phone number, as the communications contact for each entity (you may designate yourself), and keep it current. For each order you must provide the information the state requires, promptly and accurately. You are responsible for keeping your contact details current so we can reach you about service of process and deadlines, and for the accuracy of everything you submit.
Service of process and state mail are scanned and posted, typically within one business day. Ordinary mail is included up to three scanned items per entity per service year; additional ordinary items carry a small per-item fee to view or download. Junk mail is not uploaded. Packages are not accepted; we are not a bailee and hold no duty of care over packages, which may be refused or returned and are held only briefly. You may request a physical copy of an uploaded document for a limited period after it is received.
The registered-agent address may be used only in your official capacity for the entity, not for personal use. You may not file a USPS change-of-address or mail-forwarding request using the address, and it cannot be used to verify online-marketplace seller accounts. Misuse may result in resignation of the agent and reporting as required.
We prepare and submit formation and other filings to the relevant state using the information you provide, and return the stamped documents to your dashboard. State processing times govern completion. Where a filing needs confirmation before submission, we confirm with you.
Our fee for each service is shown before you order. State filing fees are passed through at cost, unchanged. The registered agent renews annually at the price you signed up at. There is no setup or cancellation fee.
Recurring services renew automatically each year unless you disable auto-renewal or cancel before the renewal date. Cancelling stops billing for that service but does not remove the registered agent from the state record. You are responsible for appointing a replacement registered agent as the state requires; failing to do so may put the entity in default and cause loss of good standing, licenses, or approvals. After cancellation, we no longer forward mail or service of process, and documents that arrive afterward may be placed in a locked view until any amount due is paid.
Where you order a beneficial-ownership (Corporate Transparency Act) filing, identifying information and any identity documents you provide are transmitted securely, encrypted at rest, and deleted from our provider’s systems after the retention period required to complete the filing (approximately 90 days). Neither we nor our provider act as the "company applicant" for your formation unless a state or federal authority requires it.
